जब आप किसी IPO के बारे में पढ़ते हैं, तो आपने Retail, HNI और QIB जैसे शब्द जरूर सुने होंगे। लेकिन इनका मतलब क्या होता है और इन तीनों में क्या अंतर है?
आइए इसे बिल्कुल आसान भाषा में समझते हैं।
IPO में Investor Categories क्या होती हैं?
IPO में सभी investors को एक ही category में नहीं रखा जाता। निवेश की राशि और investor की eligibility के आधार पर अलग-अलग categories होती हैं।
इनमें प्रमुख हैं:
- Retail Investor
- HNI / NII
- QIB
इन categories के लिए IPO में reserved portion और allotment rules अलग हो सकते हैं।
1️⃣ Retail Investor कौन होता है?
Retail Individual Investor (RII) सामान्य individual investor होता है जो अपने व्यक्तिगत account से IPO में Apply करता है।
उदाहरण के लिए, अगर कोई व्यक्ति अपने Demat Account और Bank Account से IPO में Apply करता है और उसकी application applicable retail limit के अंदर है, तो वह Retail category में आ सकता है।
आसान भाषा में:
छोटे/व्यक्तिगत निवेशक = Retail Investor
Retail category की applicable investment limit IPO और मौजूदा नियमों के अनुसार देखनी चाहिए।
2️⃣ HNI क्या होता है?
HNI का मतलब High Net-worth Individual होता है।
IPO में HNI से संबंधित applications को कई जगह NII (Non-Institutional Investor) category के अंतर्गत देखा जाता है।
ऐसे investors आम तौर पर Retail category की सीमा से ज्यादा amount के लिए Apply करते हैं।
आसान भाषा में:
Retail limit से बड़ी application = NII/HNI category
NII category में भी अलग-अलग sub-categories और allotment rules हो सकते हैं।

QIB का पूरा नाम Qualified Institutional Buyer है।
ये सामान्य individual investors नहीं होते, बल्कि eligible institutional investors होते हैं।
उदाहरण के तौर पर applicable regulations के तहत कुछ institutional investors QIB category में आ सकते हैं।

NII – 50X
QIB – 10X
इसका मतलब है कि अलग-अलग categories में demand अलग-अलग रही।
इसलिए केवल Total Subscription देखकर IPO की पूरी तस्वीर समझना मुश्किल हो सकता है।
Retail Subscription 20X का क्या मतलब है?
मान लीजिए Retail category में:
Available Shares = 1 लाख
और Retail investors ने:
20 लाख shares के लिए Apply किया।
तो Retail category:
20X subscribed
हुई।
इसका मतलब Retail category में available shares की तुलना में demand 20 गुना थी।
HNI/NII Subscription 50X का मतलब
अगर NII category में उपलब्ध shares की तुलना में applications की demand 50 गुना है, तो:
NII = 50X subscribed
इसका मतलब इस category में competition काफी ज्यादा है।
QIB Subscription 10X का मतलब
अगर QIB portion के लिए demand available shares से 10 गुना है, तो:
QIB = 10X subscribed
यह institutional investors की demand को दर्शाता है।
क्या Retail और HNI का Allotment एक जैसा होता है?
नहीं।
अलग-अलग categories के लिए allotment की methodology और applicable rules अलग हो सकते हैं।
इसलिए यह मान लेना सही नहीं है कि:
“IPO 20X subscribed है, तो हर investor को 1/20 shares मिलेंगे।”
Actual allotment category और लागू नियमों के अनुसार होता है।
क्या HNI को Retail से ज्यादा फायदा मिलता है?
ऐसा सीधे नहीं कहा जा सकता।
HNI/NII category में application amount ज्यादा हो सकता है, लेकिन allotment rules अलग होते हैं।
इसलिए केवल ज्यादा amount से allotment guaranteed नहीं होता।
IPO Subscription देखते समय क्या देखें?
जब किसी IPO का subscription data देखें, तो इन तीनों को अलग-अलग देखें:
1. Retail Subscription
छोटे/individual investors की demand।
2. NII/HNI Subscription
Non-Institutional investors की demand।
3. QIB Subscription
Qualified institutional investors की demand।

इसका मतलब:
- Retail portion की demand 25 गुना
- NII portion की demand 60 गुना

यह numbers अलग-अलग reserved portions के मुकाबले subscription को दर्शाते हैं।
क्या QIB Subscription देखकर IPO में Apply करना चाहिए?
सिर्फ QIB subscription देखकर IPO में investment decision नहीं लेना चाहिए।
IPO में Apply करने से पहले:
